В статье рассматриваются основные изменения Гражданского кодекса РФ (далее-ГК РФ) в сфере функционирования органов юридического лица. Проанализировано законодательство ряда зарубежных стран, в частности, США, Англии, Франции, Германии, Скандинавских стан и др. Автором исследуется, в частности, порядок формирования органов юридического лица, охарактеризованы органы юридического лица и независимый директор, определены модели корпоративного управления, а также затронут вопрос юридической ответственности лиц, входящих в органы управления юридическим лицом.
This article discusses the major changes of the Civil Code of the Russian Federation in the sphere of functioning of corporations. It also takes into account legislation of a number of foreign countries, particularly the US, Great Britain, France, Germany and others. The author explores, in particular, the order of formation of the bodies of a corporation, characterizes by the bodies of a corporation and an independent director, defines corporate governance model in corporations and also raises the issue of legal liability of persons belonging to the bodies of a corporation.
